Terms and Conditions for 12 Months of Cumulus Retail SaaS Giveaway
1. Charitable Purpose: This promotion is designed to raise funds for Project ChildSafe, a 501(c)(3) non-profit organization dedicated to promoting safe handling and storage of firearms to prevent accidents, thefts, and misuse. 100% of the proceeds from this giveaway will be donated directly to Project ChildSafe. The donation page used to collect funds for entry is owned and operated by Project ChildSafe, and Celerant Technology is serving solely as the provider of the prize and operator of this sweepstakes.
2. Eligibility: This giveaway is open only to legal residents of the United States who are 18 years of age or older at the time of entry. Residents of California, New York and Florida are not eligible. Participants must represent an existing retail business with a physical storefront operating in a federally legal industry. Only new business is eligible; existing customers of Celerant Technology are not eligible to participate. Employees of Celerant Technology (collectively the “Employees”), and immediate family members and/or those living in the same household of Employees are not eligible to participate in the giveaway. 3. Agreement to Rules: By participating, the Contestant (“you”) agree to be fully unconditionally bound by these Terms and Conditions, and you represent and warrant that you meet the eligibility requirements. In addition, you agree to accept the decisions of Celerant Technology as final and binding as it relates to the content of this giveaway.
4. Giveaway Period: Entries will be accepted online starting 11/12/2024. All online entries must be received by 01/22/2025 at 8:00 AM EST.
5. How to Enter: The giveaway must be entered by donating $25 to Project ChildSafe using the online form provided at https://projectchildsafe-bloom.kindful.com/?campaign=1338466. The entry must fulfill all giveaway requirements, as specified, to be eligible to win the prize. Entries that are incomplete or do not adhere to the rules or specifications may be disqualified at the sole discretion of Celerant Technology. You may enter only once per person. You may not attempt to enter multiple times by using multiple email addresses, identities, or devices in an attempt to circumvent the rules. If you use fraudulent methods or otherwise attempt to circumvent the rules, your submission will be removed from eligibility at the sole discretion of Celerant Technology.
6. Alternate Form of Entry: No purchase is necessary. An alternate form of entry is available by mailing an entry containing your name, mailing address and email address to Celerant Technology 485 Route 1 S. Building B, 2nd Floor Iselin, NJ 08830, Att: “Celerant 25th Anniversary Contest” and indicate that you wish to enter the contest with this entry en lieu of a $25 donation. Like donation entries, entrants can only be eligible for one prize drawing.
7. Prize: The Winner of the giveaway (the “Winner”) will receive 12 months of Cumulus Retail SaaS service. This includes 1 POS SaaS software license for 1 store and 5 back office licenses. Hardware is not included. Approximate retail value of the prize for tax purposes is $2,340. The prize is nontransferable. If Winner meets all eligibility requirements but does not wish to claim the prize at their company, they must declare so within 15 days of notification, and an alternate Winner shall be selected. The specifics of the prize shall be solely determined by Celerant Technology. No other cash or other prize substitution shall be permitted except at Celerant Technology’s discretion. Any and all prize-related expenses, including without limitation any and all federal, state, and/or local taxes, shall be the sole responsibility of the Winner.
8. Odds: The odds of winning depend on the number of eligible entries received.
9. Winner Selection and Notification: Winner will be selected by a random drawing under the supervision of Celerant Technology. Winner will be notified by email within five (5) days following selection of Winner. Celerant Technology and Project ChildSafe shall have no liability for Winner’s failure to receive notices due to spam, junk e-mail or other security settings or for Winner’s provision of incorrect or otherwise non-functioning contact information. If Winner cannot be contacted, is ineligible, or fails to claim the prize within 15 days from the time award notification was sent, the prize may be forfeited and an alternate Winner selected. Receipt by Winner of the prize offered in this giveaway is conditioned upon compliance with any and all federal, state, and local laws and regulations.
10. Winner Non-Disparagement Clause: This clause applies exclusively to the winner of the contest and becomes effective upon acceptance of the prize. The non-disparagement obligation shall remain in effect for the duration of the prize term. The winner agrees not to disparage Celerant Technology, its products, services, employees, or affiliates in any manner. This includes, but is not limited to, making negative or derogatory comments in any medium, including verbal statements, written documents, or online platforms such as social media, review sites, or forums. This clause does not prohibit the winner from providing truthful statements as required by law or in response to legal proceedings. In the event of a breach of this non-disparagement agreement, Celerant Technology reserves the right to:
a. Immediately terminate the remaining prize term without compensation;
b. Require the winner to reimburse the pro-rated ARV of the prize for the period prior to the breach;
c. Pursue legal action for damages resulting from the breach.
The Winner understands that this agreement is a material condition of receiving and continuing to benefit from the prize.
11. Rights Granted by You: By entering this giveaway, you understand and agree that Celerant Technology shall have the right, where permitted by law, to print, publish, broadcast, distribute, and use in any media now known or hereafter developed, in perpetuity and throughout the world, without limitation, your name, company name, company logo, picture, image, statements about the giveaway, and biographical information for the purposes of promoting the giveaway through news, publicity, and promotional materials, without any further compensation, notice, review, or consent.
12. Further Terms and Conditions: Celerant Technology reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the giveaway should virus, bug, non-authorized human intervention, fraud, or other cause beyond Celerant Technology’s control corrupt or affect the administration, security, fairness, or proper conduct of the giveaway. In such case, Celerant Technology may select the Winner from all eligible entries received prior to and/or after (if appropriate) the action taken by Celerant Technology.
13. Limitation of Liability: By entering, you agree to release and hold harmless Celerant Technology from any liability, loss, litigation, claim, or damage that may occur, directly or indirectly, whether caused by negligence or not, from:
(i) Such entrant’s participation in the giveaway and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof;
(ii) Technical failures of any kind, including but not limited to the malfunction of any computer, cable, network, hardware, or software, or other mechanical equipment;
(iii) The unavailability or inaccessibility of any transmissions, telephone, or Internet service;
(iv) Unauthorized human intervention in any part of the entry process or the Promotion;
(v) Electronic or human error in the administration of the Promotion or the processing of entries.
14. Disputes: This giveaway is governed by the laws of the United States and the state of New Jersey, without respect to conflict of law doctrines. As a condition of participating in this giveaway, participant agrees that any and all disputes that cannot be resolved between the parties, and causes of action arising out of or connected with this giveaway, shall be resolved individually, without resort to any form of class action, exclusively before a court located in New Jersey having jurisdiction. Further, in any such dispute, under no circumstances shall participant be permitted to obtain awards for, and hereby waives all rights to, punitive, incidental, or consequential damages, including reasonable attorney’s fees.
15. Privacy Policy: Information submitted with an entry is subject to the Privacy Policy stated on the Celerant Technology website. By entering by making a donation through the provided link, you are granting Project ChildSafe, Inc. permission to share your personal information (name and contact details) with Celerant for the purposes of operating this sweepstakes, and any other purpose identified in these Terms and Conditions.
16. Winner List: To obtain a copy of the Winner’s name or a copy of these Official Rules, mail your request along with a stamped, self-addressed envelope to: Celerant Technology, 485 Route 1 S. Building B, 2nd Floor Iselin, NJ 08830. Requests must be received no later than 12/31/2025.
17. Marketing Use: By entering this giveaway, You agree that Celerant Technology and Project ChildSafe may use your contact information for marketing purposes related to our products and services. You may opt out of such communications at any time by following the unsubscribe instructions provided in the marketing communications.
18. Acceptance: By participating in the giveaway, you have affirmatively reviewed, accepted, and agreed to all of the Official Rules.
